Terms of Service

1. Agreement

By creating an account or using Santoram, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy.

2. Eligibility

You must be at least 16 years old and able to enter a binding contract.

3. Your account

You are responsible for activity on your account and for keeping your credentials safe.

4. Content you publish

You retain ownership of content you publish. By publishing, you grant Santoram a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, cache, reproduce, display, perform, distribute, translate, format, syndicate, and promote your content on and in connection with the Service, in any media now known or later developed.

You, and you alone, are fully, solely, and personally liable for everything you publish, send, upload, link to, or transmit through Santoram, and for every consequence that flows from it. You represent, warrant, and covenant that (a) you own or have secured all rights, licenses, consents, releases, and permissions necessary to publish your content and grant the license above; (b) your content and your use of the Service comply with every applicable local, national, and international law and regulation, including those governing copyright, trademark, defamation, obscenity, privacy, data protection, export control, consumer protection, securities, tax, gambling, and anti-spam; (c) your content is accurate, lawful, and not misleading; and (d) your content does not infringe, misappropriate, or violate the rights of any third party.

Strict publishing standard. Publishing on Santoram is a privilege, not a right. We may, at our sole and absolute discretion and without notice or liability, refuse, delay, hold for review, edit, unpublish, remove, deindex, demote, or permanently delete any content or account, for any reason or no reason, including suspected violation of these Terms, the Acceptable Use Policy, or any law applicable in any jurisdiction. All submissions are subject to automated and human moderation; we make no commitment that any submission will be published, remain published, or remain accessible.

Santoram is a neutral, passive conduit and hosting provider. We do not pre-screen, endorse, verify, adopt, or assume responsibility for any user content, and we expressly disclaim any and all liability arising from or relating to user content, including any errors, omissions, inaccuracies, defamation, infringement, illegality, harm, or loss of any kind. Any reliance on, use of, or exposure to user content is solely at your own risk. To the maximum extent permitted by law, Santoram has zero liability for user content.

5. Prohibited content & conduct

You must not use Santoram, and must not allow anyone using your account to use Santoram, to publish, transmit, store, link to, solicit, or facilitate any content or activity that is unlawful under any applicable jurisdiction. This includes, without limitation: child sexual abuse material; terrorism, violent extremism, or incitement to violence; human trafficking; fraud, scams, money laundering, or sanctions evasion; unauthorized sale of regulated goods (drugs, weapons, prescription medication); piracy or copyright/trademark infringement; defamation; doxxing or unlawful disclosure of private information; malware, phishing, or attacks on any system; spam or unsolicited bulk messaging; and any breach of consumer protection, securities, tax, gambling, or privacy laws.

We may, but have no obligation to, automatically and manually moderate content. We may unpublish, remove, refuse, edit, suspend, or terminate any content or account, with or without notice, at our sole discretion, including to comply with applicable law, court orders, or government requests. We may preserve and disclose content and account information where we believe in good faith it is required by law or necessary to protect rights, safety, or the integrity of the Service.

6. Payments & subscriptions

Paid plans are billed in advance. Cancellations take effect at period end. Upgrades and downgrades are prorated. Taxes are added where required by law.

7. Termination

You may close your account at any time. We may suspend or terminate your access immediately for violations of these Terms or to comply with legal obligations.

8. Disclaimer of warranties

THE SERVICE AND ALL USER CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. Santoram does not warrant that user content is accurate, lawful, safe, or fit for any purpose, and makes no representation regarding the conduct of any user.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SANTORAM, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY USER CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Santoram's total aggregate liability for any claim relating to the Service shall not exceed the greater of (a) the amount you paid Santoram in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 50.

Santoram is not liable for any act or omission of any user, for any user content, for any third-party services, or for any damages arising from your reliance on, exposure to, or distribution of user content. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the smallest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Santoram, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content; (b) your use or misuse of the Service; (c) your violation of these Terms, the Acceptable Use Policy, or any applicable law; or (d) your violation of any rights of a third party. Santoram may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully.

11. Governing law & disputes

These Terms, your use of the Service, and any content you publish are governed by the laws applicable to you in the jurisdiction where you reside and from which you access or post on Santoram. You are solely responsible for ensuring that your conduct and content comply with all such applicable local, national, and international laws. Any dispute shall be resolved in accordance with the law applicable to the user, and any claim must be brought within one (1) year after the cause of action arises, or be permanently barred, except where a longer period is required by applicable law.

12. Binding individual arbitration & class-action waiver

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for (i) small-claims actions available to you under your local law and (ii) claims for injunctive relief to protect intellectual property, you and Santoram agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any user content (a "Dispute") shall be resolved exclusively by final and binding individual arbitration, conducted in English by a single arbitrator, on a documents-only basis where permitted, under the arbitration rules and law applicable in the user's jurisdiction.

YOU AND SANTORAM EACH IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. Disputes must be brought in your individual capacity only. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to any claim, that claim must proceed in court, but the remainder of this section remains in force.

You may opt out of arbitration by emailing legal@santoram.com within 30 days of first accepting these Terms, including your full name, account email, and a clear statement that you decline arbitration.

Nothing in this Section 12 limits any non-waivable right you may have under consumer-protection or other mandatory laws applicable to you in your jurisdiction.

13. Force majeure

Santoram is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, epidemics, labor disputes, network or power outages, denial-of-service attacks, or failures of upstream providers.

14. Copyright complaints

If you believe content on the Service infringes your copyright or other intellectual-property rights under any law applicable to you, send a notice to legal@santoram.com containing: (a) your name and address; (b) the work and right claimed; (c) the URL of the alleged infringement; (d) the date and time of the alleged infringement; and (e) a statement of the alleged infringement. We will act on compliant notices and retain records as required by applicable law. Repeat infringers will be terminated.

CSAM and serious harm. Suspected child sexual abuse material will be reported to the competent authorities in the relevant jurisdiction. We cooperate with lawful requests from law enforcement and courts of competent jurisdiction.

15. Severability & entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be reformed to the minimum extent necessary. No waiver of any term shall be deemed a further or continuing waiver. These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Santoram and supersede any prior agreements on the same subject.

16. Assumption of risk

You acknowledge that Santoram is a user-generated-content platform and that you may be exposed to content that is inaccurate, offensive, or unlawful. You assume all risk associated with your use of the Service and waive any claim against Santoram arising from such exposure to the maximum extent permitted by law.

17. Changes

We may update these Terms. Material changes will be announced in-product. Continued use after the effective date constitutes acceptance.
